Terms of Service

These Terms of Service ("Terms" or "TOS") constitute a legally binding agreement between you ("User", "you", or "your") and Proxima Labs Inc., a company incorporated in Panama ("Proxima", "we", "us", or "our"). These Terms apply to all use of the Proxima marketing website (https://proxima.tools), the web application (https://app.proxima.tools), the documentation site (https://docs.proxima.tools), the Proxima API, and any related services, integrations, and communities (collectively, the "Platform").
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must immediately cease all use of the Platform.
1. Platform Description
Proxima is an all-in-one, multi-chain token launch and market operations platform. The Platform provides self-service software tools that enable users to:
- Create, clone, and import fungible tokens and launch them on supported third-party launchpads
- Configure and execute launches using multiple methods, including Block-0, MEV, stagger, organic, manual, scheduled, and snipe modes, as well as MultiLaunch across multiple wallets
- Generate, fund, organize, and manage fleets of wallets, including through the aged-wallet Marketplace and dedicated funder wallets
- Trade tokens (buy, sell, send, withdraw, burn) across supported networks and venues
- Run automated strategies and tools, including Auto-Buy, Auto-Sell, Volume Bot, market-maker, Generate Activity, Sniper Guard (including Nuke), and cleanup
- Lock liquidity or supply via third-party providers such as Streamflow, claim creator rewards and fees, deploy the Shield on-chain router, and monitor balances, activity, and profit-and-loss analytics
- Fund and cash out wallets through classic on-chain transfers or through centralized-exchange (CEX) routes and privacy-preserving hop routing provided by third parties
The Platform may operate on networks such as Solana, BNB Smart Chain, Ethereum, Base, Robinhood, and Arc, and may integrate with third-party launchpads such as Pump.fun, Meteora, Uniswap, Four.meme, Bags, Printr, Clanker, and others. That list is not exhaustive. The networks, launchpads, and venues available to you are those shown in the Platform at the time of use.
The Platform is a self-service software tool. Proxima does not act as a broker, dealer, exchange, market maker, financial advisor, investment manager, or fiduciary of any kind. For managed wallets, Proxima generates, stores, and uses private keys as described in Section 4. You retain full responsibility for your tokens, trading decisions, strategy configurations, wallet funding, and withdrawal timing.
2. Eligibility
By using the Platform, you represent and warrant that
- You are at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is greater
- You have the full legal capacity to enter into these Terms
- You are transacting only with legally obtained assets that belong to you or that you are duly authorized to control
- You are not a resident of, citizen of, or located in any jurisdiction where the use of automated trading tools, token launch tools, decentralized exchanges, or cryptocurrency is prohibited by applicable law
- You are not identified on any sanctions list maintained by the United Nations, the United States (including the OFAC Specially Designated Nationals list), the European Union, the United Kingdom, or any other applicable sanctions authority
- You are not using the Platform on behalf of any sanctioned person, entity, or government
- You are not a Politically Exposed Person ("PEP"), and you do not have business relationships or family ties with any PEP; you will notify us if you become a PEP during your use of the Platform
A Politically Exposed Person means an individual entrusted with prominent public functions, including heads of state, government ministers, senior officials, members of parliament, senior judges, military officers, ambassadors, and executives of state-owned enterprises or international organizations, together with their immediate family members and close business associates. Politically Exposed Persons are prohibited from using the Platform.
2.1 Restricted Jurisdictions
The Platform is not available to any person who is a resident or citizen of, or who is located in, a restricted jurisdiction. You must not access or use the Platform from a restricted jurisdiction. Using a VPN, proxy, or similar tool to appear to be outside a restricted jurisdiction is a violation of these Terms. We may estimate location from the IP address used to access the Platform, including country and, where relevant, region. Those signals are not a guarantee of enforcement. If we detect use from a restricted jurisdiction, or an attempt to evade this section, we may suspend, restrict, or terminate access and freeze managed wallets.
Sanctions. You must not use the Platform if you are a resident or citizen of, or located in, Cuba, Iran, Iraq, North Korea, Syria, Sudan, South Sudan, Zimbabwe, or the Democratic Republic of Congo, or in the restricted regions of Ukraine (Crimea, Sevastopol, Donetsk, Luhansk, Kherson, and Zaporizhzhia). The rest of Ukraine is not restricted on the basis of country alone. You must also not use the Platform where a wallet address, counterparty, or transaction is identified on a sanctions list, including lists maintained by the United Nations, the United States (OFAC Specially Designated Nationals), the European Union, or the United Kingdom, regardless of the IP country.
Licensing and availability. Until Proxima holds the authorization required to provide the Platform in the relevant country, you must not use the Platform if you are a resident or citizen of, or located in: the United States and its territories (Puerto Rico, Guam, the U.S. Virgin Islands, American Samoa, and the Northern Mariana Islands); Canada; the United Kingdom; the European Economic Area (the member states of the European Union, Iceland, Liechtenstein, and Norway); Japan; Hong Kong; or Singapore.
You must immediately cease using the Platform if your jurisdiction becomes restricted. We may add to this list, or refuse, suspend, or terminate access from any other jurisdiction, at any time, with or without notice.
2.2 Access Control
Access to the Platform may require a valid referral code, a license key, and account registration. We reserve the right to grant, refuse, suspend, or revoke access, licenses, or referral privileges at our sole discretion. Authorized API use is limited to credentials we issue and is subject to rate limits, logging, and revocation. Scraping and other programmatic access outside that authorization are prohibited.
3. Accounts, Licenses, and Referrals
3.1 Authentication
Account identity and authentication are provided through Turnkey and may use email one-time passcodes, passkeys, or an external wallet. You are responsible for maintaining the security of the email address, devices, passkeys, and wallets associated with your account. Sessions are time-limited and expire periodically.
3.2 Licenses
Access to Platform functionality is scoped to one or more license keys associated with your account. Licenses are personal to you, are non-transferable except as expressly permitted by us, and may carry configurable parameters such as wallet limits and fee rates. We may modify, suspend, or revoke licenses in accordance with these Terms.
3.3 Referrals
Signup may require a referral code. A referrer earns a share of the platform fees actually collected from users who signed up with that referrer's code. The share is calculated on fees that have been collected. It is not paid for the act of recruiting, for issuing a code, or for the existence of a referral relationship on which no platform fee has been collected.
Only the direct referrer is paid. The person who referred the referrer, and anyone further up the chain, earns nothing.
The current default rate is 15% (1,500 basis points) of those collected platform fees. A different rate may be set on a specific license, and the rate that applies to you is the one shown for that license in the Platform. We may change or discontinue the rate, or the program, at our discretion. Any change applies to fees collected after the change takes effect. Amounts vary with the fees your referred users actually generate. Nothing in the program is a promised return, a yield, or an investment.
Referral amounts may be withheld, reversed, or forfeited in cases of fraud, abuse, self-referral, circumvention, or violation of these Terms, including during the period we review a suspected violation. You may not make false or misleading statements about Proxima, spam, or use deceptive practices to obtain referrals.
3.4 Account Security
You are responsible for maintaining the security of your account credentials, authentication factors, and any two-factor authentication (2FA) enrolled on your account. You agree to use strong, unique credentials, to keep your authentication factors secret, and to notify us immediately at support@proxima.tools if you become aware of any unauthorized access. We are not liable for any losses resulting from unauthorized access to your account that is attributable to your failure to secure your credentials or authentication factors.
4. Wallets and Key Management
To provide automated launch, trading, and market-operations functionality, the Platform generates and manages cryptocurrency wallets on your behalf. You acknowledge and agree that:
- Proxima generates the private keys for these managed wallets, stores them on Proxima-controlled systems, and uses them to sign and submit transactions in response to the instructions and configurations you provide through the Platform, including any automated strategies you enable
- You may import your own private keys for certain wallet types. You may request the private keys of your managed wallets from support at support@proxima.tools. We release keys only in response to a request you initiate, and only after we verify that the request comes from the holder of the account. We do not guarantee that a request will succeed, that keys can be recovered if your account or email is compromised, or that any particular delivery method is secure. A compromised support mailbox or account can result in irreversible loss. Once keys are delivered to you, you are solely responsible for them
- We may refuse or delay a key-recovery request while your account, license, or managed wallets are restricted or frozen under these Terms or the AML Policy, including during an investigation or where we are required to do so by law
- Watched or tracked wallets are monitored by address only, and the Platform cannot sign transactions for them or release keys it does not hold
- Proxima may restrict, freeze, or delay key release as described in these Terms and the AML Policy. All trading, launches, fund movements, and cashouts still require your configuration or initiation; Proxima does not trade or move funds on a discretionary basis
- No security system is infallible, and you should not deposit or manage more funds than you can afford to lose
You are solely responsible for safeguarding any private keys or seed phrases you recover, export, or import, and for the security of any external wallet you connect. We will never ask you to send funds to an address not displayed on the Platform, and we will never ask you to send us the contents of your seed phrase.
5. Market Conduct and Trading Activity
Certain features of the Platform, depending on how they are configured and the regulatory framework of your jurisdiction, may raise market-conduct considerations. You are solely responsible for understanding the legal characterization of your activity in your jurisdiction and for ensuring your configurations comply with applicable law. The availability of a feature on the Platform does not constitute a representation that its use is lawful in your jurisdiction.
Volume Bot, Generate Activity, and market-maker tools. These tools execute real on-chain buy and sell transactions and incur real costs. In some jurisdictions, generating trading activity, sustaining volume, or maintaining price levels through such tools may be characterized as wash trading, market manipulation, or artificial price maintenance, and may violate applicable securities, commodities, or market-conduct laws.
Bundled and Block-0 launches. Launch methods that acquire a significant portion of a token's supply across multiple wallets at or near launch (including Block-0, MEV, stagger, MultiLaunch, and snipe modes) may, in certain jurisdictions, create a misleading appearance of demand or distribution, may require disclosure, or may trigger securities-law obligations.
Aged-wallet Marketplace. Wallets acquired through the Marketplace may be used to participate in launches and trading. Using such wallets to disguise common ownership or coordinated activity may be treated as a manipulative or deceptive practice under applicable law.
Automated strategies. Automated and systematic trading (including Auto-Buy, Auto-Sell, and scheduled execution) may be subject to algorithmic-trading regulations in certain jurisdictions, which may impose registration, testing, risk-control, or reporting requirements.
6. Token Launch Disclosures
If you create, clone, import, or launch a token through the Platform, you acknowledge and agree that:
- You are the issuer or creator of that token and bear full responsibility for all obligations arising from its creation, marketing, and distribution
- Depending on its characteristics and marketing, a token may be classified as a security, commodity, or other regulated financial instrument under the laws of one or more jurisdictions
- Bundled purchases at launch across multiple wallets may create a misleading appearance of demand, which could constitute market manipulation or fraud under applicable law, and you may have disclosure obligations regarding your holdings, your identity as creator, and the nature of bundled transactions
- Tokens labelled as representing real-world assets ("RWA"), stocks, or similar do not confer ownership, redemption, dividend, voting, or other rights in any off-chain asset unless a legally binding instrument independently provides such rights
- Proxima has no obligation to verify, and does not verify, the legal status, safety, or compliance of any token created or launched through the Platform
7. Privacy Routing and Cashout Features
The Platform offers funding and withdrawal features that route funds through classic on-chain transfers, ephemeral hop wallets, internal routing, and third-party CEX routes (including through Husher). These privacy-enhancing features are provided as tools for legitimate purposes, such as operational security and wallet unlinking. You acknowledge and agree that:
- You are solely responsible for ensuring your use of these features complies with all applicable anti-money-laundering ("AML"), counter-terrorism-financing ("CTF"), tax, and financial-reporting laws in your jurisdiction
- The use of these features to evade taxes, circumvent sanctions, launder proceeds of crime, finance terrorism, or otherwise conceal unlawful activity is strictly prohibited and constitutes a violation of these Terms
- CEX funding and withdrawal orders, once submitted to a third-party provider, may not be cancellable, and are additionally governed by the terms and policies of that provider. Those routes may be unavailable, delayed, or subject to identity or source-of-funds checks even where you can otherwise use the Platform
Your use of the measures described in our AML Policy is further set out there.
8. Third-Party Services and First-Party Infrastructure
The Platform relies on and integrates with third-party services, including but not limited to Turnkey (authentication and key infrastructure), Husher (CEX funding, withdrawals, and privacy routing), Hushxima (aged-wallet Marketplace), Jupiter (swap routing), Streamflow (token and liquidity locks), blockchain RPC providers, launchpads, decentralized exchanges, and block-engine and MEV-protection services.
When you use a feature that relies on a third party, you may also be subject to that third party's terms and policies, including their own AML and KYC procedures. In particular, CEX funding and withdrawal routes provided through Husher and its exchange service providers ("ESPs") are subject to Husher's and the ESPs' terms, privacy policies, and compliance procedures, which may include identity verification, source-of-funds checks, holds, and refusal of service. Proxima does not control and is not responsible for the actions, decisions, policies, availability, outages, or failures of any third-party service. Failures, outages, or adverse changes in third-party services are beyond our control.
The Platform also depends on first-party infrastructure, including hosting, databases, and the systems that store managed-wallet keys and sign transactions. Failures, outages, errors, or a compromise of those systems may prevent or delay operations or result in loss of funds.
9. Fees
The current standard platform fees, which are automatically applied at the time of the relevant operation unless a different rate is shown for your license, are:
- A platform fee of 5% on sells, calculated on the proceeds received from the sale
- A fee of 5% on amounts you claim through creator rewards and fee-collection features
- A fee of 1% per side on Volume Bot activity
- A fee of 0.5% on Streamflow supply and liquidity locks
The confirmation displayed in the Platform at the time of the operation is authoritative for that operation. Do not rely on a percentage copied from an older document if the confirmation shows a different amount.
There is no subscription or paywall for access to the Platform. Buys, funding, buybacks, wallet generation, and other operations are not subject to a Proxima take-rate except as stated above, as configured on a license, or as otherwise disclosed in the Platform.
Third-party fees are separate from, and in addition to, Proxima's platform fees. These include blockchain network and gas fees, launchpad and venue fees and taxes, swap fees, MEV tips, provider fees (for example, CEX routing fees charged through Husher of approximately 0.25% to 0.5%), and lock or provisioning costs. Fees shown in the Platform may be estimates and may vary based on market conditions, network congestion, venue configuration, and routing. We reserve the right to modify our fee structure, with notice posted on the Platform where required.
10. Transactions Are Final
Blockchain transactions are irreversible. Once a transaction is submitted to and confirmed on a network, it cannot be cancelled or reversed. On-chain operations and third-party settlements executed through the Platform are final, and Proxima does not offer refunds of those amounts. In particular:
- CEX funding and withdrawal orders may not be cancellable once submitted to the provider
- Marketplace purchases may not be cancellable once settled
- Locks, burns, permanent fee-share arrangements, and charity allocations may be irreversible and cannot be undone by Proxima
- Stopping an automated strategy does not reverse transactions that have already been submitted
This section concerns blockchain and third-party finality. It does not prevent us from correcting a platform fee that we charged in error.
You are responsible for reviewing all parameters before confirming any action.
11. Prohibited Uses
You agree not to use the Platform for any of the following
- Money laundering, or processing proceeds derived from any criminal activity
- Terrorism financing, or providing material support to terrorist organizations
- Sanctions evasion, or any transaction involving sanctioned persons, entities, jurisdictions, or governments
- Tax evasion, or the deliberate concealment of taxable income or assets from tax authorities
- Fraud, or any activity intended to deceive or defraud any person or entity
- Rug pulls, or the intentional creation of tokens with the premeditated intent to abandon the project and abscond with participants' funds
- Market manipulation, wash trading, or pump-and-dump schemes in any jurisdiction where your specific activity constitutes a violation of applicable law
- Circumventing access controls, including using VPNs, proxies, or other tools to access the Platform from a restricted jurisdiction
- Unauthorized access to other users' accounts, wallets, or data
- Reverse engineering, decompiling, disassembling, or otherwise attempting to compromise the Platform or its systems
- Automated or programmatic access outside of authorized API usage, including scraping, bots, or crawlers
- Distributing malware, exploits, or malicious code, including through tokens launched via the Platform
- Any other activity that violates applicable law or these Terms
We reserve the right to suspend or terminate access, and to restrict or freeze managed wallets, for any user reasonably suspected of engaging in prohibited activities, with or without prior notice, as further described in our AML Policy.
12. Intellectual Property
All intellectual property rights in the Platform, including its software, algorithms, user interface, documentation, trade names, logos, and related materials, are owned by or licensed to Proxima. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or business operations.
You retain ownership of the content and tokens you create, subject to the responsibilities set out in these Terms. You grant Proxima a limited, worldwide, non-exclusive license to host, display, transmit, and reproduce the token metadata, images, descriptions, social links, and other content you submit, solely to operate and improve the Platform. You represent that you have the rights needed to submit that content.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROXIMA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Any loss of profits, revenue, data, or business opportunities
- Any loss of cryptocurrency, tokens, or digital assets, regardless of the cause
- Any losses arising from the execution or non-execution of launches or automated trading strategies
- Any losses arising from the use of third-party smart contracts, launchpads, DEX protocols, blockchain networks, or third-party services, including Husher, Turnkey, Hushxima, and their ESPs
- Any losses arising from a failure, outage, or compromise of first-party infrastructure, including the systems that store managed-wallet keys and sign transactions
- Any losses arising from unauthorized access to your account due to your failure to secure credentials
- Any losses arising from regulatory action taken against you in connection with your use of the Platform
IN NO EVENT SHALL PROXIMA'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE TOTAL PLATFORM FEES PAID BY YOU TO PROXIMA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
14. Indemnification
You agree to indemnify, defend, and hold harmless Proxima, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Platform
- Your breach of these Terms
- Your violation of any applicable law, rule, or regulation
- Your trading activities, including any tokens you create or launch, strategies you configure, or transactions you execute
- Your use of privacy, routing, or cashout features in a manner that violates applicable AML, CTF, sanctions, or tax laws
- Any claim by a third party arising from your use of the Platform or from content you submit
15. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. PROXIMA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not guarantee uninterrupted, timely, secure, or error-free operation of the Platform, nor the execution, order, price, allocation, or inclusion of any launch or transaction. Nothing on the Platform, in our documentation, or in any communication from Proxima constitutes financial, investment, trading, legal, or tax advice. Please review our Risk Disclosure.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of Panama.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall first be addressed through good-faith informal resolution. You agree to notify us of any dispute within 30 days by emailing legal@proxima.tools and to attempt to resolve it directly with us before commencing formal proceedings.
If the dispute is not resolved informally, it shall be resolved through confidential binding arbitration administered by the Centro de Conciliación y Arbitraje de Panamá (CECAP), before a single arbitrator, unless you are located in a jurisdiction where mandatory consumer-protection laws require disputes to be resolved in local courts. Disputes involving intellectual property are exempt from mandatory arbitration. Court proceedings that are not subject to arbitration shall be brought in the courts of Panama.
CLASS ACTION WAIVER: TO THE EXTENT PERMITTED BY APPLICABLE LAW, ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
17. Termination
Either party may terminate this agreement at any time. You may terminate by ceasing to use the Platform and withdrawing your funds from your managed wallets. We may terminate or suspend your access, licenses, or referral privileges, and restrict or freeze managed wallets, for any reason, including violation of these Terms, suspected illegal activity, or regulatory requirements. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including Sections 4, 5, 6, 9, 10, 11, 13, 14, 15, and 16) shall survive.
18. Modifications to Terms
We may modify these Terms at any time. Material changes will be communicated through the Platform, the documentation site, or by other reasonable means at least 14 days before they take effect, except where a shorter period is required to address legal or security concerns. Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree with a modification, you must immediately stop using the Platform.

Never use services from misspelled URLs or unverified accounts. Our representatives will never ask for your password or your seed phrase, and will never ask you to send funds to addresses not displayed on the Platform. Private keys are released only when you request them yourself by writing to support@proxima.tools. A message that offers to recover your keys, or that asks you to paste a key into a chat, email, or form, is not from Proxima. We are not responsible for losses arising from phishing scams or from communications outside our official channels.
20. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
21. Entire Agreement
These Terms, together with our AML Policy, Privacy Policy, and Risk Disclosure, constitute the entire agreement between you and Proxima regarding your use of the Platform.
